Scope and disclaimer

Our services are provided by Skerryvore OÜ, trading as Skerryvore Advisory, registry code 17620988, registered address Tööstuse tn 75-71, Põhja-Tallinna linnaosa, Tallinn, Harju maakond, 10416, Estonia. This page summarises what each service is, and what it is not. The engagement letter for each piece of work sets out its full scope and terms, and prevails over anything on this website.

What all our services have in common

  • Each is a review of financial information supplied by you, or by the seller or lender on your behalf. We do not verify that information independently unless the engagement letter says so.
  • None is an audit, review or other assurance engagement, and none expresses an opinion or conclusion of the kind such an engagement would.
  • None is a valuation or an opinion on price. Where we show a multiple or a coverage ratio, it is the arithmetic implication of the price and terms you propose.
  • None is legal, tax, regulatory or investment advice.
  • None recommends whether to proceed with a transaction. The decision is yours.
  • Each report is addressed to you alone, for your use in considering the transaction, and may not be relied on by anyone else, including lenders, sellers or brokers.

Deal Screen

A fixed-scope review of the seller’s financial information before an offer, against a closed list of procedures. It is not a quality of earnings report or full due diligence, and it identifies matters that warrant further investigation rather than resolving them.

QoE Review

A buyer-side review of a quality of earnings report commissioned by your lender or another party. It is not itself a quality of earnings report, it does not replace the lender’s report, and it is not represented as meeting any lender’s or the SBA’s requirements. Whether a lender accepts any finding is a matter for the lender.

Full due diligence

Buy-side financial due diligence, scoped individually and quoted in writing before any work starts. Indicative fees on this website are not a quote.

Who we work with

We work for buyers. We do not act for the seller, the lender or the lender’s quality of earnings provider on the same transaction. We do not currently accept engagements from clients in the United Kingdom.
